Terms of Access and Use:
The North American Energy Credit and Clearing Corp. "NECC" Credit and Risk Management Policies and Procedures (hereinafter referred to as the "NECC Credit Policies") are confidential. As a condition to having access thereto, you must accept the Terms of Access and Use set forth below by clicking on the "Accept" button below. For purposes hereof, the term "you" means the person accepting these Terms of Access and Use, and the term "You" means, individually and collectively, you and the Company identified by you herein (the "Company"). The person accepting these Terms of Access and Use represents that he or she has the authority to bind the Company to these Terms of Access and Use. In consideration for being granted access to the NECC Credit Policies, You agree, on behalf of yourself and Your affiliates, and Your and their respective directors, officers, employees, agents, advisors and representatives (collectively "Representatives"), to keep the NECC Credit Policies confidential, and to not disclose or permit disclosure to the public of such NECC Credit Policies in any manner whatsoever, in whole or in part, without the prior written consent of NECC. You agree to take such steps as may reasonably be necessary to ensure that Your Representatives do not disclose the NECC Credit Policies in violation of these Terms of Access and Use, and recognize that You are responsible for any such unauthorized disclosure. You also acknowledge that money damages may be both incalculable and an insufficient remedy for any breach of these Terms of Access and Use by You or Your Representatives and that any such breach could cause irreparable harm. Accordingly, You also agree that in the event of any breach or threatened breach of these Terms of Access and Use, NECC, in addition to any other remedies at law or in equity it may have, shall be entitled, without the requirement of posting a bond or other security, to seek to obtain such other equitable relief, including injunctive relief and specific performance as may be required to enforce the terms of these Terms of Access and Use. When you accept these Terms of Access and Use by clicking on the "Accept" button below, you will have created a contract with NECC that is binding upon You and upon Your respective successors and assigns.
